The Cyprus Department of the Registrar of Companies and Intellectual Property (RoC) has announced the commencement of the annual confirmation period for information recorded in the Beneficial Ownership Register (UBO Register) for 2026.
All companies incorporated or registered under the Companies Law, Cap. 113, European Public Limited Companies (SEs) and partnerships (collectively referred to as “Organizations”) are required to access the UBO Register and confirm the information relating to their beneficial owners (UBOs), senior management officials or due diligence information, as applicable.
The confirmation period runs from 1 October 2026 until 31 December 2026.
Organizations should ensure that the information recorded in the UBO Register is accurate and up to date before completing the annual confirmation. Where an initial registration, amendment or other action relating to the beneficial owners, senior management officials or due diligence information is required during the confirmation period, that action must first be completed, followed by the annual confirmation no later than 31 December 2026.
The annual confirmation is required even where the deadline for the initial registration of a newly incorporated or registered Organization falls within the confirmation period.
The confirmation only needs to be completed once during the period from 1 October to 31 December 2026. If a change occurs after the annual confirmation has already been completed, the relevant change must be recorded in accordance with the applicable requirements, but the annual confirmation does not need to be repeated.
Penalties for Non-Compliance
Failure to complete the annual confirmation by 31 December 2026 may result in a financial penalty of €100 for the first day of non-compliance and €50 for each subsequent day, up to a maximum total penalty of €5,000.
Organizations are therefore advised to review the information currently recorded in the UBO Register and complete the required confirmation in good time before the deadline.
